I would like to know the benefits(Cost, performance, maintainance,others) by migrating to process server from MQ workflow.

Benefits - One's part of IBM's ongoing strategy, the other's not? 
Costs - ask your IBM rep. Only IBM can tell you authoriatively what an IBM product will cost you.
Performance - all IBM products scale. A direct comparision is impossible because they don't do the same thing exactly. Though I accept they have features in common.
Maintenance - One will get maintenance, the other won't long term.
Others - behold the intangibles!

Biggest issue: MQWF is due to go out of support in 2012.
As far as cost goes, you should discuss w/IBM, I believe that current MQWF customers can convert their licenses.
There is a migration product available that will allow you to use your MQWF applications in a mixed mode with Process Server while you sunset MQWF.
