Never, ever have spaces in your classpath. For example, change all occurrences of "Program Files" to "Progra~1" and occurrences of "WebSphere MQ" to its DOS equivalent.
Also ensure that this is the classpath that is actually being used from inside the Command Console (mqsiprofile), and that you are creating the Config Manager from within this environment.
Also ensure that the db2java.zip file can be read successfully from the directory you specified and that the zip file contains the driver class file that is being requested by the create command.

little confusion!!
you said change "WebSphere MQ" to its DOS Equivalent.
But the CLASSPATH was updated automatically when I installed whatever Application.
So do I still need to change it? |

I got the issue!!!
When I Echoed the CLASSPATH instead of Checking it manually from MY Computer I found that CLASSPATH is something different(?)
There Were two CLASSPATHs in the Environment Variables(MY Computer).
1. User Variables
2. System Variables.
It was taking "User Variables". I changed the CLASSPATH to "System Variables" which has all the required entries.
And I can now successfully create the CONFIG MGR. )
So small the problem, took too much time.

Ah yes, substitute mqsiprofile environment for system variables when referring to v5..
My mistake - naturally assuming everyone's on v6
